Welcome to NADIS. These Terms of Service ("Terms") govern your access to and use of the NADIS healthcare management platform, including its Appointments, EHR, Audiometry, Billing, Subscriptions, AI features, and Communications modules. By registering, verifying your OTP, or using the Platform, you ("Facility", "Clinic", "Hospital", "User") agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Platform.
1. Nature of the Service
NADIS is a B2B (Business-to-Business) cloud-based Healthcare Management System (HMS) provided to medical facilities, clinics, and hospitals. We provide the technology infrastructure to manage practice operations. We do not provide medical advice, diagnosis, or treatment.
2. Facility Obligations & Patient Consent (Crucial)
2.1. Consent Warranties: The Facility acknowledges that NADIS acts as a Data Processor, and the Facility acts as the Data Fiduciary under applicable Indian data protection laws (including the DPDP Act, 2023). The Facility explicitly warrants that it has obtained lawful, informed, and explicit consent from its patients to collect, store, process, and transmit their Personal Identifiable Information (PII) and Protected Health Information (PHI) onto the NADIS platform.
2.2. Pre-Verification Trust: Until NADIS implements direct patient consent mechanisms (e.g., direct OTPs or app-based consent for patients), NADIS strictly assumes and relies on the Facility’s confirmation that patient approval has been secured before the first data entry occurs.
2.3. Indemnification on Consent: The Facility shall fully indemnify and hold NUREV TECH LLP harmless against any claims, legal actions, or regulatory penalties arising from the Facility's failure to obtain proper patient consent.
2.4. Prohibition on Data Selling: The Facility is strictly prohibited from exporting, extracting, or selling patient data managed on or derived from the NADIS platform to any third party data brokers or marketers.
3. Intellectual Property, Anti-Cloning & Confidentiality
3.1. Ownership: NUREV TECH LLP retains all rights, title, and interest in and to the NADIS Platform, including its codebase, UI/UX, AI workflows, algorithms, and features.
3.2. Anti-Cloning & Unauthorized Access: The Facility shall not share, screen-share, broadcast, or provide access to the NADIS dashboard to any unauthorized persons, competitors, software developers, or external consultants for the purpose of reverse engineering, cloning, or creating a derivative/competing product.
3.3. Penalty: Any evidence of feature copying or unauthorized sharing of the NADIS proprietary interface will result in immediate termination of the account and potential legal action for intellectual property infringement.
4. Data Rights & AI Usage
4.1. Patient Data: We will never sell identifiable patient data.
4.2. Anonymized Research & AI: To improve healthcare software and medical research, NUREV TECH LLP reserves the right to aggregate, de-identify, and anonymize data processed on the Platform. This strictly independent, unrelated, and anonymized data may be used to train AI models, generate analytics, and improve the NADIS ecosystem.
5. Pricing and Subscriptions
5.1. Fee Changes: NADIS reserves the right to increase or decrease subscription pricing, transaction fees (e.g., SMS/WhatsApp usage), or module fees at any time. Changes may occur due to new feature rollouts, NUREV TECH LLP policy updates, or changes in government taxes/regulations.
5.2. Notice: We will provide advance notice of any pricing changes. Continued use of the Platform after changes take effect constitutes acceptance of the new pricing.
6. Security & Limitation of Liability
6.1. Security Measures: NADIS employs robust, industry-standard security measures (AWS Cloud Security, Multi-tenancy isolation, Rate Limiting, RBAC, and PBAC).
6.2. Inherent Risks: The Facility acknowledges that no internet-based system is 100% secure. While we take commercially reasonable steps to secure the Platform, NUREV TECH LLP shall not be held liable for data breaches, leaks, hacks, or unauthorized access caused by sophisticated cyber-attacks, zero-day vulnerabilities, force majeure events, or compromised Facility credentials (e.g., a doctor sharing their password).
6.3. Cap on Liability: In no event shall NUREV TECH LLP’s total liability to the Facility exceed the total subscription fees paid by the Facility in the three (3) months preceding the event giving rise to the claim.
7. Core Platform Policies & Facility Compliance Rules
The Facility explicitly acknowledges and agrees to abide by the following core business policies governing the NADIS ecosystem:
7.1. Anti-Cloning & Fake Copy Prohibition: Facility users, administrators, and associated staff are strictly barred from displaying, demonstrating, or exposing any NADIS dashboard, workflow, or API endpoint to any unauthorized person or entity attempting to inspect, replicate, or build a fake/competing copy of NADIS features.
7.2. Dynamic Business & Regulatory Price Adjustments: NUREV TECH LLP maintains the unilateral right to adjust module, usage, or subscription fees in response to evolving policy changes, operational demands, AI compute costs, or government tax/regulatory mandates affecting healthcare SaaS operations in India.
7.3. Cyber Security Breach Exemption: While NADIS enforces strict AWS cloud infrastructure isolation, multi-tenant database separation, Rate Limiting, RBAC, PBAC, and audit logging, NUREV TECH LLP is released from liability for data leaks, hacks, or unauthorized intrusions resulting from external threats or credential compromises beyond reasonable platform control.
7.4. Mandatory Patient Consent Responsibility: Until automated direct patient verification (OTP/app confirmation) is fully deployed across all platform touchpoints, the Facility assumes 100% legal responsibility as the Data Fiduciary to obtain, record, and maintain verifiable patient consent before uploading any patient records into the system.
7.5. Mid-Term Subscription & Plan Change Policy:
* Settlement Activation: Plan switches take effect only when the new invoice is fully settled and paid—not upon quote selection.
* Month Forfeiture & No Pro-Rating: Day-level pro-rating is not supported. The partial calendar month in which the upgrade occurs is forfeited in full. Credits are calculated strictly starting from the first day of the following calendar month, based on the net taxable amount actually paid.
* Taxable Credit Cap & Carryforward: Applied credits reduce the new invoice’s taxable line total (invoices can never be negative). Any unspent credit balance remains on the Facility's ledger for future renewals and must be manually applied by an authorized admin.
* Governance: Plan upgrades can be self-served by Facility Admins; plan downgrades strictly require Super Admin review and manual offline settlement.
8. Termination
We reserve the right to suspend or terminate your account immediately, without prior notice, if you breach these Terms (including failure to pay, unauthorized UI sharing, or lack of patient consent).
9. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Noida, India.
